Introduction
These Terms and Conditions govern all services provided by Cobra Paint ("we", "our", "us") to our clients ("you", "the client"). By engaging Cobra Paint for any works, you agree to be bound by these Terms and Conditions unless otherwise agreed in writing.
Scope of Work
All work will be carried out in accordance with the agreed quotation, scope of work, drawings, specifications, or written instructions. Any variations or additional work requested outside the agreed scope may incur additional costs and time extensions.
Quotations and Pricing
All quotations are valid for 30 days unless stated otherwise. Prices are based on information available at the time of quoting and may be subject to change if site conditions, materials, access, or project requirements differ from those disclosed. All prices are exclusive of GST unless explicitly stated.
Variations
Any variation to the scope of work must be approved in writing before commencement. Cobra Paint reserves the right to charge for variations, including additional labour, materials, plant, and time impacts.
Payment Terms
Invoices must be paid in full within the timeframe stated on the invoice. Failure to pay by the due date may result in suspension of works and/or the application of interest or recovery costs. Cobra Paint reserves the right to request progress payments for larger projects.
Delays and Site Conditions
Cobra Paint is not liable for delays caused by factors beyond our control, including but not limited to weather conditions, site access restrictions, unforeseen structural issues, supply delays, or client-caused delays. Any such delays may result in revised timelines.
Client Responsibilities
The client must ensure safe and reasonable access to the site, accurate information about site conditions, and compliance with all relevant laws and regulations. Any delays or costs resulting from incorrect or incomplete information may be charged to the client.
Health and Safety
Cobra Paint is committed to meeting and exceeding all statutory Health and Safety requirements. All works will be carried out in accordance with applicable legislation. Clients and other contractors on site must comply with Cobra Paint Health and Safety policies when interacting with our works.
Environmental Responsibility
Cobra Paint employees and contractors are required to manage and minimise environmental impact where reasonably practicable. Waste disposal, noise control, and environmental protection will be undertaken in line with industry best practices.
Warranties and Workmanship
Cobra Paint warrants that all work will be carried out with reasonable care, skill, and diligence in accordance with industry standards. Warranty periods, if applicable, will be specified in writing and do not cover fair wear and tear, misuse, or work affected by third parties.
Limitation of Liability
To the fullest extent permitted by law, Cobra Paint shall not be liable for indirect, incidental, or consequential damages. Our liability is limited to the value of the services provided under the relevant contract or invoice.
Insurance
Cobra Paint maintains appropriate insurance coverage, including public liability insurance, as required by law. Proof of insurance can be provided upon request.
Termination
Either party may terminate the agreement in writing if the other party materially breaches these Terms and Conditions and fails to remedy the breach within a reasonable timeframe. Upon termination, payment is due for all work completed up to the termination date.
Confidentiality
All information shared between Cobra Paint and the client relating to pricing, methods, or project details shall be treated as confidential unless disclosure is required by law.
Governing Law
These Terms and Conditions are governed by the laws of New Zealand. Any disputes shall be subject to the exclusive jurisdiction of New Zealand courts.
Acceptance
Engaging Cobra Paint, issuing a purchase order, or approving a quotation constitutes acceptance of these Terms and Conditions.
